1. Service Agreement

By engaging MELAS COMMERCE LTD for import, export, product sourcing, or wholesale distribution services, you agree to be bound by these terms and conditions. Specific product deliverables, shipping timelines, and costs will be outlined in a separate Commercial Invoice or Purchase Order.

2. Product Sourcing & Quality

While we verify suppliers and conduct quality control checks, MELAS COMMERCE LTD acts as a facilitator in the supply chain. We are not the manufacturer of the goods.
Final approval of product samples is the responsibility of the buyer prior to mass production and shipping.

3. Shipping & Logistics

International shipping timelines are estimates. Delays caused by customs clearance, port congestion, extreme weather, or force majeure events are outside of our direct control. We will communicate any delays promptly and work to resolve logistics bottlenecks.

4. Warranties & Liability

We warrant that our sourcing and logistics services will be performed with professional care. However, in no event shall MELAS COMMERCE LTD be liable for indirect, consequential, or business-loss damages arising from delayed shipments or manufacturing defects beyond our agreed QC parameters.

5. Confidentiality

We understand the sensitive nature of your supply chain. Both parties agree to maintain strict confidentiality regarding supplier identities, pricing structures, and product designs shared during the course of our business relationship.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales.
